Purpose – The purpose of this study is to examine corporate governance practices in an emerging economy. It focusses on how ownership control and board control systems operate in corporate organisations in an emergent economy, assuming that these systems are essential for enhancing good corporate governance practices in emerging countries. Design/methodology/approach – The paper builds on descriptive multiple-case study with multiple units of analysis to divulge how ownership control and board control systems function to ensuring effective corporate governance in publicly listed corporate organisations in Ghana. A criterion-based sampling technique is used to select the companies. Thereafter, three techniques of data collection are used to gather data from the companies: archival records, semi-structured interviews and observation. The eighteenth century is considered a crucial period in terms of the rise of the modern State. During this century, the logic of organization of several large European Empires began to emerge in the fragmented Italian panorama through the Lorena familys domination of the Grand Duchy of Tuscany. Peter Leopold of the Lorena dynasty inherited the Grand Duchy in 1765 and implemented his Reform of the Municipalities in 1774. This Reform contributed to modernizing the State and undermined most of the ancient privileges that had been established by the previous rulers of the Grand Duchy. The aim of this paper is to highlight both the government/organizational drivers of that Reform, and the relationship between central and municipal levels of governmental organization, including insights drawn from Michel Foucaults conception of governmentality in interpreting the implications of the Reform. The study is based on primary source materials from the State Archives of Florence and Galeata, and contributes to the extant, yet scarce literature on public sector management and organization of the period, and enriches understandings of the economic and accounting issues that were rationales for the Reform.

ABSTRACT The Reform of Ministry of Cultural Heritage and Activities and Tourism (L.171/2014) has resulted in the restructuring of the Ministry and its organization, redefining the relations between the central and peripheral bodies and external stakeholders. The study is focused on the reform process that involves the Italian state museums highlighting the changes that led to a strengthening of the process of decentralization, streamlining tasks, and granting autonomy. The study begins with an analysis of the evolutionary path of public reforms in the museum sector and analyzes the law texts related to the Italian state museums through the network governance perspective.
