The strategy of stakeholder briefing during merger negotiation in the bank market

Nikolaos Konstantopoulos; Damianos P. Sakas; Yiannis Triantafyllopoulos

Purpose – The purpose of this paper is to examine the role of the variable stakeholder briefing in the successful completion of merger negotiations in the Greek banking branch.Design/methodology/approach – The codification is attempted by means of software, so as to clarify the trends for negotiations in win‐win conditions. Data collected by the negotiation process of two large banking companies.Findings – The paper concludes that an important factor for the successful outcome of a merger is also the methodology of briefing enacted by the leaders of the banking branch during both the negotiation and merger process.Originality/value – The two banks follow a different briefing strategy in the issue of stakeholder briefing as well but there is congruency in briefing strategies concerning substantial goals, because both banks develop in a market that modulates tactics of consuming and investing behaviors through forming an “opinion” by the image that the banks give to consumers and investors about their plans.

Outsourcing or Insourcing in the High Technology Systems Sector in a Maritime Company

Anthi Z. Vaxevanou; Nikolaos Konstantopoulos; Damianos P. Sakas

The object of this research paper is to examine the concepts of outsourcing and insourcing and their application in the high technology systems sector in a maritime company. When a company chooses to outsource the high technologies sector to an external collaborator, it needs to have the ability to specify to the service provider the required services, in order to obtain the best possible result. On the other hand, when the maritime company decides to provide the required services, it needs to have the ability to adapt its services according to the fast pace of high technology.

The Role of Leadership in High Tech Manufacturing Companies in a Changing Environment

Yiannis Triantafyllopoulos; Nikolaos Konstantopoulos; Damianos P. Sakas

This article aims to examine the role of leadership after a change in the business environment of a company, such as a Merger and Acquisition, in high tech manufacturing companies. Particularly as the number of mergers and acquisitions (M&As) continues to increase and during recession times is one of the most common strategy, more leaders are called upon to to develop their skills an play the most important role for the company strategy. For this purpose both qualitative and quantitative methods are used to examine the effect of leadership after a Merger and Acquisition in some Greek companies that operate in manufacturing business. Findings indicate that in many cases the change that occurs as a result of a merger is imposed on the leaders who have the critical role not only to communicate effectively the company strategy but also to find the correct ways to apply the requested performance management strategies, such as recognition, innovation and others in the new company employees.

Lessons from a case study for Greek banking M&A negotiations

Nikolaos Konstantopoulos; Damianos P. Sakas; Yiannis Triantafyllopoulos

Purpose – The purpose of this paper is to examine the factor “Staffs beliefs, attitudes and social representations” vis‐a‐vis the part it plays during the negotiation process in the effort of the two leaders of the Greek banking branch to merge.Design/methodology/approach – The codification is attempted by means of software, so as to clarify the trends for negotiations in win‐win conditions. Data were collected by the negotiation process of two large banking companies.Findings – The paper concludes that the private or public character of each banking organization involved in the negotiation process of aiming at a merger will affect its strategic choices in relation to the role played by human beliefs and professional attitudes during the negotiations. Additionally, the research has pointed out some elements that are explained and justified by the existing circumstances in the particular banking area. The fear of change, the stress, the insecurity and the loss of morale are also pointed out as being signi...

A Simulation Model for Measuring Customer Satisfaction through Employee Satisfaction

Dimitris Zondiros; Nikolaos Konstantopoulos; Petros Tomaras

Customer satisfaction is defined as a measure of how a firms product or service performs compared to customers expectations. It has long been a subject of research due to its importance for measuring marketing and business performance. A lot of models have been developed for its measurement. This paper propose a simulation model using employee satisfaction as one of the most important factors leading to customer satisfaction (the others being expectations and disconfirmation of expectations). Data obtained from a two‐year survey in customers of banks in Greece were used. The application of three approaches regarding employee satisfaction resulted in greater customer satisfaction when there is serious effort to keep employees satisfied.

Developing and managing digital service ecosystems: a service science viewpoint

Konstadinos Kutsikos; Nikolaos Konstantopoulos; Damianos P. Sakas

– The need for modern enterprises to seamlessly interoperate poses significant challenges on their capabilities for engaging in multiple business networks. This paper considers a particular type of business network, namely, “service ecosystems”, and proposes architecture for enabling business firms to: control dissemination and usage of the resources they contribute to the ecosystem; and develop corresponding service offerings. , – A literature review informed our research work and contextualized the development of relevant research questions. The research questions were based on unstructured, creative techniques (e.g. brainstorming), combined with rigorous requirements specification for software tools developed as part of this research. Overall development was based on service science and enterprise interoperability research, distilled in four principles that provided the context and direction for this work. , – Three key components of the proposed architecture were developed: service map, which identifies the building blocks needed to construct a service ecosystem; interoperability model, as a decision-making mechanism for dynamic (re-) arrangement of a service map’s building blocks; and shared service infrastructure for the provision of support services to all ecosystem participants. , – This research has advanced current thinking in developing and managing service ecosystems. By adopting a service science viewpoint (service value co-creation, value-in-use), a holistic approach for building collaboration capabilities is described: at the enterprise level, it pertains to decision-making mechanisms for service provision; at the ecosystem level, it pertains to a software platform for managing common collaboration tasks.

New Elements in International Maritime Standards: Developing a Safety Case Approach for the Treatment of Tanker Incidents

Aristotelis B. Alexopoulos; Nikolaos Konstantopoulos

In this paper we examine new methods tor investigating and evaluating marine accidents at the international level. The main feature is the assessment of risks because ship safety regulations have so far failed to address the risks caused by ships. In decision-making process criteria may be used to determine whether risks are acceptable and/or tolerable. The Safety Case Approach is a risk-management methodology that may assist ship operators to reduce risks to as low as reasonably practicable. It does not refer to prescriptive rules and regulations but rather uses the goal-setting principle. So far, it has been applied to high-speed crafts in order to provide high levels of safety for the safe and efficient operation of these vessels. We focus on the tanker industry and particularly on incidents caused by fire and/or explosion because they involve high risks of environmental damage and loss of lives.

Strategic Planning Revisited: Acquisition and Exploitation of Information on Foreign Markets

Myropi Garri; Nikolaos Konstantopoulos

In this chapter, we revisit some of the foundations of the strategy formulation process. Specifically, we concentrate on the information acquisition and processing process. This chapter looks at the strategic behavior of internationalized enterprises on three fronts: on the kind of information they select about the foreign market, on the sources of information they use, and on the use of relevant software to organize and exploit these information. By revisiting one by one the different stages of strategy formulation for this process, we understand whether and how much strategy development has been reshaped due to contemporary technological and contextual evolutions. The results presented, representing a pragmatic rather than theoretic approach, are expected to decrease the existing vagueness in the field and to provide more clear answers on the real practices used from managers and entrepreneurs so as to develop successful strategies in foreign markets.
